Ethical Management

Ethical Management Declaration

SK Hynix System IC recognizes ethical management as a responsibility of our time.
We are committed to fostering an ethical and transparent corporate culture.
We ensure fair transactions and sincerely and lawfully fulfill our duties and social responsibilities.

  1. All business activities are conducted based on ethical values and comply with local, national, and international laws and regulations, as well as accepted business practices.
  2. We establish a transparent and fair transaction order and eradicate corruption.
  3. We develop an ethical corporate culture and strive to extend and promote it to our partner companies.
  4. We establish dedicated organizations for the operation of ethical management, build implementation systems, and continuously improve them.
  5. To ensure the effective implementation of this Declaration, its contents are disclosed to stakeholders.

Inquiries and Reporting

To ensure that all stakeholders can freely raise inquiries and report concerns related to ethical management,
SK Hynix System IC operates a reporting system.In addition, all matters received through the reporting system are handled on a confidential basis, and the ethical management organization conducts thorough investigations to ensure that issues are addressed promptly and appropriately.

[Reportable Matters]:
  • Corruption or improper conduct involving business partners (BPs)
    Acceptance of money/hospitality, personal demands, equity investments, improper instructions, verbal abuse or physical misconduct, etc.
  • Conflicts of interest related to job responsibilities
    Side businesses, excessive personal business activities, personal loans between members, investments based on inside information, transactions involving related parties, etc.
  • Actions that undermine social values
    Non-compliance with environmental/safety/health/quality regulations, human rights violations, discrimination against disadvantaged groups, leakage of customer information, provision of false or misleading information to customers.
  • Lack of respect for personal dignity among members
    Verbal abuse, physical violence, sexual harassment, ostracism, business-related exclusion, directing subordinates to handle personal matters, etc.
  • Improper business practices
    False reports, falsification of performance, improper business activities, misuse of expenses and assets; unauthorized disclosure of information, etc.
[Reports Excluded from Investigation]:
Reports may be excluded from investigation if they fall under any of the following circumstances:
  • The report is submitted for an improper purpose or seeks preferential or special treatment.
  • The report contains false information, unsubstantiated claims, or defamatory allegations.
  • The report fails to describe specific conduct (individuals involved/methods used).
  • Matters relate to customer complaints/product defects, or issues that are handled by a designated department.
  • Matters concern purely personal privacy issues beyond the Company's ability to intervene.
  • Malicious or groundless reports may be subject to disciplinary action.

Whistleblower Protection Policy

[Code of Ethics Article 10 Protection of Whistleblowers]:
To prevent retaliation against individuals who report unethical or illegal conduct, including inquiries, reports, or the submission of related testimony and materials, the ethical management organization shall take all feasible measures to protect whistleblowers from any adverse treatment in terms of identity or employment conditions.
  • The ethical management organization prohibits any actions that could reveal a whistleblower’s identity, including inquiries, probing, or investigation into the content of the report.
  • If a whistleblower has concerns about retaliation from the reported party or third parties, or if retaliation has already occurred, the ethical management organization shall assess the situation and implement protective measures. The Company shall make every reasonable effort to protect the whistleblower from any adverse effects.
  • The ethical management organization shall regularly monitor and follow up to ensure that whistleblowers do not experience retaliation or other negative consequences.
[Whistleblower Protection Program]:
To ensure that whistleblowers can report concerns without fear or adverse effects, we operate a Whistleblower Protection Program.
  1. No member shall be subject to discrimination, exclusion, or any other unfavorable treatment for making a good-faith report.
  2. If a whistleblower experiences any unfair treatment as a result of reporting, they may request corrective action and protection from the Ethics Management Department. The Company will take all reasonable measures to mitigate any adverse impact.
  3. The identity of whistleblowers and the content of their reports will be kept strictly confidential and will not be disclosed without the whistleblower's consent.
  4. Individuals who cooperate in an investigation by providing statements or supporting materials will be afforded the same level of protection.
  5. Individuals who voluntarily disclose their own involvement in unethical or illegal conduct may be eligible for reduced disciplinary action.
